The Sui Foundation exists to support the development, growth and adoption of the Sui network. Sui is the first permissionless Layer 1 blockchain designed from the ground up to enable creators and developers to build unique Web3 experiences from gaming to finance.

We are building a world class team of legal professionals who will be embedded partners with the business. You will report to the Head of Legal and have constant contact with senior leadership and teams across the Sui Foundation, advancing our most strategic initiatives while operationalizing the growing organization. Your ideas and contributions will shape the team’s relationship with the rest of the Foundation. Creativity, a brilliant mind, and excitement about having a hand in building the internet of the future are all required.

Responsibilities:

• Day-to-day legal partner to Marketing, Partnerships, Developer Relations, Operations, and Treasury Management and HR teams.
• Assist with corporate governance, corporate transactions, international expansion, and other corporate matters.
• Negotiate and manage grants and investment strategic partnerships, and other complex commercial transactions end to end, including involving digital assets.
• Manage intellectual property portfolio.
• Provide legal guidance on the development of blockchained based products and services.
• Work with the Head of Legal on board-related matters including drafting minutes, board resolutions, and other materials for Board meetings.
• Oversee entity formation, regulatory and tax filings with local and regional authorities.
• Manage outside counsel.
• Work with all cross functional team members in a collaborative approach.

Qualifications:

• 5+ years of combined experience in major (Big Law) law firms and/or in-house legal departments in high-growth tech companies.
• JD from an accredited law school.
• Advanced expertise with corporate governance, investments, fundraising via NVCA style documents, M&A, entity formation, and token and equity issuances under incentive plans.
• Ability to efficiently manage a high volume of complex and critical work with limited time and supervision.
• Proficiency in analyzing US and international regulations concerning digital assets and blockchain technology.
• Enthusiasm about dealmaking and blockchain technology.
• Experience in advising all levels of the organization, including senior level executives and is comfortable handling projects independently, directly, and in a solutions-oriented manner.
• Self-starter, quick learner with sense of urgency; highly driven and proactive.
• Unquestioned integrity and excellent business judgment with the ability to assess and risk-weigh situations quickly often with imperfect information.
• Great communicator comfortable providing clear, actionable, and practical advice.
• Solutions-oriented with strong business sensibilities.
