Reporting to the General Counsel (Head of Commercial Legal), this role is responsible for the end-to-end management of a broad range of contracts, including but not limited to SaaS/Technology Agreements, Marketing, Professional Services, and IP Agreements.

What we'll accomplish together:

  • Review, draft and negotiate non-disclosure agreements, professional services and consulting agreements, marketing agreements, end user license agreements, technology product and service agreements (including data security terms), software license agreements, SaaS agreements, and related statements of work, ordering documents and amendments.
  • Develop appropriate contract templates, modify templates as necessary and draft supplementary contract language as needed for specific vendor and other provider transactions.
  • Work collaboratively with the Legal team, the Finance team and other business stakeholders to identify gaps between proposed contract terms and identified business requirements.
  • Support the ongoing development of negotiation playbooks to triage and process high-volume agreements.
  • Support the implementation of contracting technology (tools such as CLM or AI assisted review)
  • Respond to inquiries regarding terms in existing contracts and assist stakeholders in understanding contract provisions.
  • Coordinate agreement and vendor reviews with the Privacy and Security teams to balance and monitor vendor risk.
  • Initiate and participate in various projects and identify opportunities to support department and company goals and requirements.

Our ideal candidate:

  • A contracts manager or attorney with at least 5-7 years of relevant experience, preferably in the technology, financial services or blockchain industry.
  • Experienced negotiating a broad range of agreements, including complex IP, data privacy, and technology agreements.
  • Skilled in analyzing, synthesizing, explaining and negotiating legal terms.
  • Experienced in self-service contracts, training materials/playbooks and related workflow processes and platforms.
  • Enthusiastic about legal technology and proficient in using CLM tools.
  • Organized and process-driven, with both the ability to work independently with little guidance and an understanding of when matters need escalation within or outside of the Legal team.
  • Able to effectively communicate and collaborate cross-functionally across teams with an attitude that no job is too big or too small.
  • Flexible and eager to work in a fast-paced environment and meet tight deadlines.
